Acceptance of Terms

InsightGig Terms of Use
Effective Date: 15th Aug 2025

By accessing or using the InsightGig Operating Layer (“Operating Layer”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use the Operating Layer.

Description of Service
InsightGig is an AI-native Operating Layer for insight professionals that enables research design, data analysis, and insight generation through specialized AI agents. The Operating Layer may be updated or modified from time to time.
Eligibility and Account Registration

You must be at least 18 years of age to use the Operating Layer. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs inside your account.

You agree to notify InsightGig immediately upon becoming aware of any unauthorized use of your account or any other breach of security.

Beta and Trial Features – Limitation of Liability
Certain features of the Operating Layer may be offered as part of a beta program or trial access. These features are provided “as is” without warranties of any kind and may be modified, suspended, or discontinued at any time without notice. By using beta or trial features, you acknowledge and agree that InsightGig shall not be liable for any loss, damage, or disruption arising from their use or discontinuation.
User Conduct and AI Usage Guidelines

You agree to use the InsightGig Operating Layer lawfully and responsibly. Specifically, you may not:

  • Violate any applicable laws or regulations;
  • Upload or transmit harmful, unauthorized, or deceptive content;
  • Interfere with the performance or integrity of the Operating Layer.
  • Reverse engineer or attempt to extract source code.

The Operating Layer is intended exclusively for use in market research and insight-related applications. Any use beyond this scope is strictly prohibited.

You represent and warrant that any Input provided does not infringe third-party rights and that you will not misattribute or falsely claim AI-generated Outputs as solely human-created.

You further agree not to use the Operating Layer (including any services offered such as APIs, Agents, Model Context Protocols, etc.) to create or train any competing product or service that is substantially similar to or competes with InsightGig’s offerings.

Service Availability and Downtime
While we strive to maintain uninterrupted access to the Operating Layer, we do not guarantee continuous availability. From time to time, the Operating Layer may be temporarily unavailable due to scheduled maintenance, updates, or unforeseen technical issues. We will make reasonable efforts to notify users of planned maintenance in advance where feasible.
Intellectual Property Rights
The Operating Layer and all related content, features, and functionality are owned by InsightGig. You may not use, reproduce, or distribute any part of the Operating Layer without prior written consent.
Privacy and Data Use

We respect your data and your privacy.

  • All content you upload remains your intellectual property.
  • We only process your data to deliver the services you request.
  • Your workspace is secure and segregated.
  • We do not use your data for training public AI models.
  • I-generated outputs derived from your data remain private to your workspace and are not shared or reused outside your environment.

Third-Party AI Models and Services
Where Operating Layer integrates with third-party AI models or services (e.g., OpenAI, Anthropic), your use of such features is also governed by the applicable third-party terms and policies. You are responsible for complying with those terms in addition to these Terms of Use.
AI Use and Output

InsightGig uses AI agents to assist in insight generation. Outputs are provided for informational purposes only and should not replace human judgment. With respect to AI-generated outputs, you further agree to:

  • Use AI content responsibly and ethically.
  • Understand that outputs are assistive and for informational purposes only.
  • Independently verify results and exercise human judgment in their application.
  • Not misrepresent, manipulate, or rely solely on AI output for critical decisions.

Data Input Disclaimer

InsightGig does not validate, verify, or audit the accuracy, consistency, or completeness of any data or content uploaded or submitted to the Operating Layer. All outputs are generated based on the assumption that the provided inputs are accurate and appropriate. You are solely responsible for reviewing and confirming the validity of your inputs before relying on any AI-generated results.

AI Output Attribution and Disclosure
If you publicly share, publish, or distribute any content substantially generated using the InsightGig Operating Layer, you agree to clearly disclose that AI was used in the creation of such content. Additionally, if the output is published in a manner that may imply authorship or originality, you must include a visible notice that such content was generated in whole or in part using the InsightGig Operating Layer. You may not falsely attribute such content solely to human authorship or omit disclosure in a way that could mislead others about its origin.
Modifications to the Operating Layer
We reserve the right to modify or discontinue the Operating Layer (or any part thereof) at any time without notice. We are not liable for any modification, suspension, or discontinuance of the Operating Layer.
Feedback and Suggestions
If you choose to provide InsightGig with feedback, suggestions, or ideas related to the Operating Layer or any of our services, you acknowledge and agree that such feedback is provided voluntarily and without expectation of compensation. You hereby grant InsightGig a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate such feedback into our products or services without any obligation to you.
Account Suspension for Security Reasons
We reserve the right to temporarily suspend or restrict your access to the Operating Layer if we detect or suspect unauthorized access, security breaches, or other suspicious activity involving your account. We will make reasonable efforts to notify you of such suspension and may require verification or remediation steps before restoring access.
Termination

We may suspend or terminate your access to the Operating Layer:

  • With Cause: Immediately and without notice if you violate these Terms, applicable laws, or engage in conduct that threatens the integrity, security, or operation of the Operating Layer.
  • Without Cause: With a written notice period of 30 days, during which you may continue to access the Operating Layer, unless otherwise specified.

Upon termination, your right to use the Operating Layer will immediately cease, and you must discontinue all use of the service.

Export and Deletion of Data
Upon termination of your account, you may request an export of your data within thirty (30) days, subject to technical feasibility and applicable legal obligations. After this period, we reserve the right to delete your data from our systems, except where retention is required by law or for legitimate business purposes.
Indemnification
You agree to indemnify, defend, and hold harmless InsightGig, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your (a) use of the Operating Layer; (b) violation of these Terms; or (c) violation of any rights of a third party.
Disclaimer of Warranties
The Operating Layer is provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Assignment
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without prior written consent from InsightGig. InsightGig may freely assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure
InsightGig shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, internet or telecommunication failures, acts of civil or military authority, war, terrorism, embargoes, or other acts of God. Such delays or failures shall not constitute a breach of these Terms.
Limitation of Liability

To the maximum extent permitted by law, InsightGig shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of or inability to use the Operating Layer.

Third-Party and Direct Damages Disclaimer

In addition to the above, InsightGig shall not be liable for any damages—whether direct, indirect, incidental, or consequential—arising from your use of the Operating Layer, including but not limited to damages incurred by your clients, partners, or any third party relying on AI-generated outputs. You assume full responsibility for reviewing and validating all outputs before any downstream use.

Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any disputes will be resolved exclusively in the courts located in New Castle County, Delaware.
Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Operating Layer, the parties agree to first attempt to resolve the matter informally and in good faith. If such efforts fail, the dispute shall be resolved by binding arbitration conducted in Delaware, United States, in accordance with the rules of the American Arbitration Association (AAA). Each party shall bear its own costs unless otherwise determined by the arbitrator.
Export Control and Government Use
You agree to comply with all applicable export control laws and regulations, including those of the United States and any other relevant jurisdiction. The Operating Layer and any related technology are subject to export restrictions and may not be exported or re-exported to any prohibited country or anyone on any government export exclusion list. If you are a U.S. Government end user, the Operating Layer is classified as “commercial computer software” and is provided only with the rights specified in these Terms, in accordance with applicable regulations.
Changes to These Terms
We may revise these Terms at any time. Changes will be posted on this page. Your continued use of the Operating Layer constitutes acceptance of the revised Terms.

Entire Agreement and Severability
These Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and InsightGig regarding your use of the Operating Layer. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Language
These Terms are written in English. If these Terms are translated into another language, the English version shall control in the event of any conflict or inconsistency.
